Terms of Service

1. Acceptance of Terms

By creating an account, signing in, booking a vehicle, or otherwise using the Simple VM platform and services ("Services"), you ("Member") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Eligibility & Membership

You represent and warrant that you:

• are at least 18 years of age;
• hold a valid, unexpired driver's license issued in the United States;
• have a satisfactory driving record and criminal background;
• will provide accurate, complete, and current information at sign-up and keep it current;
• will not impersonate any other person or use another person's identification.

Simple VM may approve, decline, suspend, deactivate, or terminate any account at its sole discretion, with or without notice. Deactivated accounts may not be re-registered using the same driver's license, phone number, or other identifying information.

3. Bookings, Approval & Availability

All bookings are pending until reviewed and approved by Simple VM. Approval is not guaranteed. Due to the nature of the vehicle-rental business, a booked vehicle may become unavailable on the requested date (for example, following a collision on a prior trip or an urgent mechanical issue). Where this occurs, Simple VM will use commercially reasonable efforts to provide a comparable replacement vehicle or to refund the booking.

4. Rental Agreement & Identity

Each trip is governed by an electronic Rental Agreement that the Member must review and sign. The printed name, signature, and initials submitted on any agreement must exactly match the Member's full legal name as shown on a valid government-issued ID and on file with Simple VM. Submitting a name, signature, or initials that do not match is prohibited and may constitute fraud.

5. Member Responsibilities

• Operate the vehicle safely and in compliance with all applicable laws.
• Use the vehicle only for the purpose disclosed at sign-up (e.g. gig work or personal use).
• Do not take the vehicle out of state without prior written authorization from Simple VM. Unauthorized out-of-state travel may be reported as theft.
• Do not allow any unauthorized person to operate the vehicle.
• Do not use the vehicle for any illegal activity, racing, off-road use, or to transport hazardous materials.
• Return the vehicle on time, clean, undamaged, with a full tank of fuel, and with the key, insurance card, and registration inside.
• Report any accident, damage, theft, mechanical issue, or traffic citation to Simple VM immediately.

6. Fees, Charges & Refunds

Members are responsible for the daily rate, prep fee, any optional delivery/pick-up fees, taxes, tolls, parking, traffic and red-light citations, cleaning fees, fuel charges, late return fees, and any damage to the vehicle not covered by insurance. Pricing is shown before booking and does not include applicable taxes. Refunds, when offered, are issued at Simple VM's discretion.

7. Insurance & Liability

Members must maintain valid auto insurance or accept insurance provided by Simple VM, as applicable. The Member is responsible for any deductible, co-insurance, and any loss, damage, fine, or liability not covered by insurance. Simple VM is not liable for any indirect, incidental, consequential, or punitive damages arising out of the use of the Services or any vehicle.

8. Vehicle Tracking & Engine Controls

Vehicles may be equipped with GPS tracking and remote engine/lock controls. Simple VM may disable a vehicle's engine or lock its doors at any time to enforce these Terms, recover an overdue vehicle, or address suspected unauthorized use or unsafe operation.

9. Prohibited Conduct

You will not (a) misrepresent your identity; (b) attempt to circumvent verification, deactivation, or screening controls; (c) interfere with the Services or other Members; (d) use the Services to violate any law or third-party right.

10. Suspension & Termination

Simple VM may suspend, deactivate, or terminate your account and any active booking at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, you remain responsible for amounts owed and for returning any vehicle in your possession.

11. Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Simple VM does not warrant uninterrupted or error-free operation of the Services.

12. Limitation of Liability

To the maximum extent permitted by law, Simple VM's total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the amounts paid by you to Simple VM in the 90 days preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Simple VM and its affiliates, officers, agents, and employees from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your use of the Services or any vehicle, your breach of these Terms, or your violation of any law or third-party right.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the platform or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the state in which Simple VM is principally located, without regard to its conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in that state, and you consent to personal jurisdiction and venue there.
